Terms of Service

1. What Spyniq is

Spyniq is an online tool for contractors to build quotes, share them with their customers, and track responses. It is provided by Ceteris IT LLC, located in Houston, Texas.

We are a tool, not a party to the agreements between you and your customers. The prices, scope, and commitments you make are between you and them.

2. Your account

To use the service you must be 18 or older and create an account with a valid email address. You are responsible for keeping your password private and for everything that happens under your account.

If you notice access you do not recognize, contact us right away.

3. Trial, plans, and billing

Every new account starts with a 14-day trial with full access and no card required. When it ends, the account moves to the free plan, which allows a limited number of quotes per month.

Paid plans are subscriptions that renew automatically until you cancel. Payments are processed by Stripe; we never see or store your card details.

You can cancel anytime from your own billing portal. Cancellation takes effect at the end of the period you already paid for: you keep access until that date, and afterward the account moves to the free plan.

We do not refund periods already started, including unused time when you delete your account.

If we change prices, we will give at least 30 days notice. Anyone on the founder price keeps it for as long as their subscription stays active without interruption.

4. Tax calculations are not tax advice

Spyniq includes rules for calculating Texas sales tax based on property type, work type, and contract type. That feature is a convenience, not professional advice.

You are solely responsible for making sure the tax you charge your customers and the tax you report to the authorities are correct. Verify the calculations with your accountant or tax advisor before relying on them for real work.

For states without automated rules, you choose the tax treatment manually and are responsible for that choice.

Ceteris IT LLC is not liable for penalties, interest, audits, or tax discrepancies arising from use of the service.

5. Your content and your customers

Everything you upload — your prices, quotes, logo, photos, and customer information — remains yours. We use it only to provide the service.

By uploading customer information you confirm you have the right to do so and that you will comply with the data protection laws that apply to you. You decide what you collect from your customers and what you use it for.

Quotes you share generate a public link with a random address. Anyone holding that link can view the quote and its photos without an account. The links are not indexed by search engines, but share them thoughtfully.

6. Acceptable use

You may not use Spyniq to:

• Conduct illegal or fraudulent activity, including quotes intended to deceive a customer.
• Upload content you do not own or that infringes third-party rights.
• Attempt to access other accounts, probe system security, or interfere with the service.
• Resell, redistribute, or present the service as your own.
• Send unsolicited bulk messages using links from the service.

7. Service availability

We work to keep Spyniq available, but we do not guarantee uninterrupted or error-free operation. There may be maintenance, third-party provider failures, or outages beyond our control.

The service is provided as is, without warranties of any kind, express or implied.

We recommend downloading the PDF of quotes that matter to you.

8. Limitation of liability

To the extent permitted by law, the total liability of Ceteris IT LLC for any claim related to the service will not exceed the amount you paid in the 12 months preceding the event giving rise to the claim.

We are not liable for lost profits, lost jobs, or indirect or consequential damages.

9. Termination

You can delete your account anytime from Settings. Doing so permanently removes your business, customers, price list, quotes, and files, and the links you shared stop working. This cannot be undone.

We may suspend or close an account that violates these terms. Where reasonable, we will give notice first.

10. Changes to these terms

We may update these terms. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the service after that date means you accept them.

11. Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law rules. Any dispute will be brought before the courts of Harris County, Texas.
